General terms and conditions

Terms

General terms and conditions of vision+mission Marketing GmbH for the psyselling online programme, seminars, one-to-one coaching and other services. This is a convenience translation; in case of divergence, the German version prevails.

1. Scope

1.1 These terms apply to all contracts between vision+mission Marketing GmbH, Teichstraße 3, 9063 Maria Saal ("the Provider") and its customers concerning the psyselling online programme, seminars, in-house seminars, one-to-one coaching and other services.

1.2 Differing terms of the customer apply only if expressly accepted by the Provider in writing.

1.3 Where the customer is a consumer within the meaning of the Austrian Consumer Protection Act (KSchG), mandatory consumer protection provisions take precedence over these terms.

2. Conclusion of contract

2.1 The presentation of services on this website is not a binding offer but an invitation to make an offer.

2.2 A contract for the online programme is concluded by placing an order in the members' area and its acceptance by the Provider. Acceptance takes place by confirmation of the booking or by activation of access.

2.3 Contracts for in-house seminars, sales development and one-to-one coaching are concluded by written order on the basis of an individual proposal.

3. Scope of services

3.1 The scope of services follows from the relevant service description on this website or from the individual proposal.

3.2 The online programme is provided through a protected members' area. Access is activated once payment has been received in full and applies for the period stated. It is not a continuing obligation with automatic renewal.

3.3 The Provider may develop content further, provided the overall character of the contractually owed service is preserved.

3.4 The Provider's services are training, professional development and consulting services. They do not constitute psychotherapy, clinical psychological treatment, a medical service, or legal, tax or investment advice.

4. Prices and payment

4.1 All prices are in euro and include Austrian value added tax at the statutory rate unless expressly stated otherwise.

4.2 Payment is made through the payment methods offered in the members' area or as individually agreed.

4.3 In the event of late payment by business customers, the statutory default interest under § 456 UGB applies. In relation to consumers, the statutory provisions apply.

4.4 Where services are delivered away from the Provider's registered seat, travel and accommodation costs are charged separately at actual cost unless otherwise agreed. These costs are itemised in the proposal in advance.

5. Right of withdrawal in distance contracts

5.1 Consumers generally have a right of withdrawal in distance contracts under the Austrian Distance and Off-Premises Transactions Act (FAGG).

5.2 For digital content not supplied on a tangible medium, the right of withdrawal lapses early under the conditions set out in § 18(1)(11) FAGG. Details and the model form are available under Right of withdrawal.

6. Rights of use

6.1 All programme content — in particular texts, videos, audio files, working materials, manuals and method names — is protected by copyright and trade mark law.

6.2 The customer receives a non-transferable, non-exclusive single licence to use the content for their own purposes for the duration of access.

6.3 In particular, sharing access credentials, reproducing, publishing, passing on or making the content available to the public, and using it for the customer's own training or consulting services, are not permitted.

6.4 For team licences, the licence applies per named individual; use by several people under one account is not permitted.

7. Warranty and liability

7.1 The statutory warranty provisions apply, including the provisions of the Austrian Consumer Warranty Act (VGG) on digital services.

7.2 The Provider is liable for intent and gross negligence. In relation to business customers, liability for slight negligence and for consequential loss, loss of profit and pure economic loss is excluded. Liability for personal injury remains unaffected in all cases.

7.3 No particular learning, sales or commercial outcome is owed or promised.

7.4 The Provider is not liable for outages caused by disruption of the internet or by circumstances outside its control.

8. Cancellation and postponement of seminars

8.1 The Provider may cancel or postpone in-person seminars if a minimum number of participants is not reached or if the presenter is prevented from attending. Payments already made will be refunded in that case; further claims are excluded.

8.2 Cancellation terms for booked in-person seminars: free of charge up to 30 days before the first seminar day; 50% of the fee from 30 to 15 days before; 100% of the fee from 14 days before. Travel and accommodation costs already incurred are reimbursed in any event. Naming a replacement participant is possible at any time at no charge.

9. Data protection

The processing of personal data is described in the privacy information.

10. Final provisions

10.1 Austrian law applies, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. In relation to consumers, this choice of law applies only to the extent that it does not deprive them of the protection of mandatory provisions of the law of their habitual residence.

10.2 For disputes with business customers, the court having subject matter jurisdiction at the Provider's registered seat is agreed. For consumers, the places of jurisdiction under § 14 KSchG apply.

10.3 Should any provision be invalid, the validity of the remaining provisions is unaffected.
